1. Definitions

  • "The Keep HQ" or "Platform" refers to the software-as-a-service platform operated by Brownsolve LTD, trading as The Keep HQ.
  • "Brownsolve LTD" or "We" or "Us" refers to the company registered in Ireland, company number [INSERT], with registered address [INSERT].
  • "User" or "Keeper" refers to any individual or entity that accesses or uses the Platform.
  • "Weapons" refers to the downloadable Expert Advisors (EAs), trading algorithms, and software tools available through The Armory.
  • "Services" refers to all features, functionality, and content provided by the Platform.

2. Nature of Services

2.1 Software Vendor Only

Brownsolve LTD is a software vendor and technology platform provider. We are NOT:

  • An investment advisor
  • A broker or dealer
  • A financial institution
  • A money manager
  • A signal provider

2.2 No Custody of Funds

We do NOT:

  • Hold, manage, or custody any trading capital
  • Store broker passwords or account credentials
  • Store exchange withdrawal keys or permissions
  • Execute trades on behalf of Users
  • Provide investment advice or recommendations

2.3 User Responsibility

All trading decisions, risk management, and capital allocation are the sole responsibility of the User. The Platform provides tools only. Users are responsible for their own trading capital, their own broker accounts, their own risk management, and compliance with applicable laws and regulations.

3. Eligibility

  • You must be at least 18 years old
  • You must have the legal capacity to enter into binding contracts
  • You must not be resident in a jurisdiction where use of the Platform is prohibited
  • You must not be on any sanctions list or prohibited person list

4. Subscription and Billing

4.1 Subscription Tiers

The Platform offers tiered subscriptions (Recruit, Cadet, Captain, General) as described on the pricing page.

4.2 Billing

  • Payments processed through LemonSqueezy (primary) or Stripe (fallback)
  • All prices in EUR unless otherwise stated
  • EU VAT applied where applicable
  • Subscriptions auto-renew unless cancelled

4.3 Refunds

  • 14-day money-back guarantee on first subscription
  • No refunds for partial months
  • Cancellation effective at end of current billing period

4.4 Free Trial

  • Recruit tier includes 14-day free trial
  • Trial automatically converts to paid subscription unless cancelled
  • Trial features may be limited compared to paid tiers

5. Intellectual Property

5.1 Ownership

All software, code, designs, trademarks, and content are the exclusive property of Brownsolve LTD.

5.2 License

Upon subscription, Users receive a limited, non-exclusive, non-transferable license to:

  • Use Weapons on their own trading accounts
  • Access the Platform dashboard and features
  • Receive updates and patches

5.3 Restrictions

Users may NOT:

  • Resell, redistribute, or sublicense Weapons
  • Reverse engineer or decompile Weapons
  • Use Weapons for managed accounts or third-party trading without written consent
  • Remove or alter copyright notices
  • Use the Platform for illegal activities

5.4 White-Label Licensing

Separate white-label and B2B licensing agreements are available. Contact partnerships@thekeephq.com.

6. Risk Disclaimer

6.1 Trading Risk

Trading financial instruments involves substantial risk of loss. Past performance of any Weapon or strategy does not guarantee future results.

6.2 No Guarantees

Brownsolve LTD makes NO guarantees regarding:

  • Profitability of any Weapon or strategy
  • Accuracy of AI Brain predictions or recommendations
  • Performance of any trading account
  • Future returns or outcomes

6.3 Simulation vs. Reality

Backtesting and simulation results are hypothetical and may differ significantly from live trading due to:

  • Slippage and execution delays
  • Spread variations
  • Market liquidity
  • Broker-specific conditions
  • Technical failures

6.4 Capital at Risk

Users should only trade with capital they can afford to lose. The 2% daily loss limit and other safety features are software safeguards, not guarantees against loss.

7. Telemetry and Data

7.1 Data Collection

The Platform collects telemetry data from connected trading bots including:

  • Account balance and equity (read-only)
  • Trade history and performance metrics
  • Safety flag status
  • Bot configuration parameters

7.2 Data Usage

Data is used for gamification (ranks, badges, leaderboards), platform improvement and debugging, compliance monitoring, and aggregate analytics.

7.3 Data Security

  • API keys encrypted at rest (AES-256-GCM)
  • All communications over HTTPS/TLS
  • Database encrypted and backed up daily
  • Access logs maintained for audit purposes

7.4 No Broker Passwords

We NEVER request or store broker login passwords. Users connect via read-only or trade-only API keys only.

8. User Conduct

Users agree to:

  • Use the Platform lawfully
  • Not attempt to breach security measures
  • Not use the Platform to manipulate markets
  • Not share account credentials
  • Report security vulnerabilities responsibly

9. Termination

9.1 By User

Users may cancel their subscription at any time through the War Room dashboard.

9.2 By Brownsolve LTD

We may suspend or terminate accounts for:

  • Violation of these Terms
  • Fraudulent activity
  • Harmful use of the Platform
  • Non-payment after grace period

9.3 Effect of Termination

Upon termination:

  • Access to paid features ceases
  • Telemetry data retained for 90 days then anonymized
  • Users may export their trade history

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Brownsolve LTD is not liable for any trading losses
  • Brownsolve LTD is not liable for indirect, incidental, or consequential damages
  • Total liability is limited to the amount paid by User in the 12 months preceding the claim
  • This limitation applies regardless of the theory of liability

11. Indemnification

Users agree to indemnify and hold harmless Brownsolve LTD, its officers, directors, employees, and agents from any claims arising from the User's use of the Platform, the User's trading activities, or the User's violation of these Terms.

12. Governing Law

These Terms are governed by the laws of Ireland. Any disputes shall be resolved in the courts of Ireland.

13. Changes to Terms

We may update these Terms at any time. Material changes will be notified via email and dashboard alert. Continued use constitutes acceptance.
